Business Terms of Service
Last updated: October 22, 2026
These terms apply to companies and organizations that use InnerFrame to assess and support their teams. Individuals using InnerFrame for their own personal insight are governed by our consumer Terms of Service instead.
These Business Terms of Service ("Terms") govern access to and use of the InnerFrame business platform (the "Service") by an organization ("Customer," "you," "your"). The Service is operated by InnerFrame LLC ("InnerFrame," "we," "us," "our"). By creating a company account, inviting users, or otherwise using the Service, you agree to these Terms.
1. The agreement and who the Customer is
The "Customer" is the organization on whose behalf the Service is used. The individual who accepts these Terms or sets up the company account represents that they are authorized to bind the Customer to these Terms. If you do not have that authority, or you do not agree, do not use the Service.
These Terms, together with our Business Privacy Policy and Data Processing Agreement ("DPA"), and any written order or plan you sign up for, form the entire agreement between you and InnerFrame for the Service.
2. What the Service is
The InnerFrame business platform provides:
- A personality assessment that produces a 7-letter frame code and flexibility score for each participant
- Written frame profiles describing how a person tends to operate
- Team and manager views — frame types of employees, direct reports, and teammates
- IMPACT goal management, one-on-one tools, and planning features
- Frame Bot — an AI assistant that can reference your company's participant data to help with team and management questions
- AI-generated insights about individuals and teams
We may add, change, or remove features over time. We'll make reasonable efforts to give notice of material changes that affect paying customers.
3. Accounts, administrators, and users
You designate one or more administrators (owners/managers) who can invite and remove users, configure the company account, and view participant data within your company. You are responsible for:
- The acts and omissions of your administrators and users
- Keeping account credentials secure and promptly disabling access for people who leave your organization
- Ensuring only authorized people within your company can view participant data
- The accuracy of the information you provide about your organization and the people you add
Administrators can view sensitive personal information about the people your organization assesses. You are responsible for limiting that access to people with a legitimate need.
4. Your responsibilities — lawful and appropriate use
You represent, warrant, and agree that:
- Authority over the people you add. You have the right to add each person to your company account and to process their assessment data for workforce purposes.
- Notices and consents. You have provided all notices to, and obtained all consents from, the individuals you assess that are required by applicable law for you to collect their assessment data and make it visible to managers and administrators in your organization. Our Employee Privacy Notice is available to help, but you remain responsible for your own compliance.
- No unlawful or high-stakes employment decisions. You will not use frame codes, profiles, flexibility scores, or AI insights as the sole or primary basis for decisions about hiring, firing, promotion, compensation, discipline, or any other decision with a legal or significant effect on a person, and you will comply with all applicable anti-discrimination and employment laws (including, in the United States, Title VII, the Americans with Disabilities Act, and the Age Discrimination in Employment Act, and equivalent laws elsewhere).
- No misuse. You will not use the Service to harass, disadvantage, or discriminate against any person, or in any way that violates these Terms or applicable law.
You are solely responsible for how your organization interprets and acts on information from the Service.
5. The assessment and AI features — disclaimers
6. Fees, plans, and billing
Plans and seats
Paid use of the Service is billed according to the plan you select. Pricing is based on the number of active accounts in your company — people who have an active login — rather than everyone you invite to take the assessment, unless your order states otherwise. We may offer tiered pricing by organization size.
Payment and taxes
Fees are stated in US dollars and are exclusive of taxes, which you are responsible for. Card payments are processed by Stripe; by subscribing you authorize recurring charges until you cancel. Where we invoice you instead, undisputed amounts are due within the period stated on the invoice.
Renewal and changes
Subscriptions renew automatically for successive periods unless canceled before the end of the current period. As your active-account count changes, your fees may be adjusted at renewal (or as stated in your order). We may change prices with at least 30 days' notice, taking effect at your next renewal.
Refunds
Fees are generally non-refundable except where required by law. If you believe you were charged in error, contact innerframetests@gmail.com and we'll review it in good faith.
7. Customer Data
"Customer Data" means the data your organization and its users submit to or generate in the Service, including the people you add, their assessment answers and results, profiles, goals, one-on-one records, and Frame Bot conversations.
- Ownership. As between you and InnerFrame, you own your Customer Data. You grant us a non-exclusive license to host, process, and use it as needed to provide and support the Service and as described in the Privacy Policy and DPA.
- Personal data. Our processing of personal data within Customer Data on your behalf is governed by the DPA, which forms part of these Terms.
- Aggregated / de-identified data. We may use aggregated and de-identified data (that does not identify you or any individual) to operate, secure, and improve the Service. We do not use your Customer Data to train third-party AI models, and our AI subprocessor does not use data sent through our API to train its models.
8. Confidentiality
Each party may receive confidential information of the other. Your Customer Data is your confidential information. Each party will protect the other's confidential information with reasonable care, use it only to perform under these Terms, and disclose it only to personnel and subprocessors who need it and are bound by confidentiality obligations.
9. Term, suspension, and termination
These Terms apply for as long as you use the Service. Either party may terminate for material breach that is not cured within 30 days of notice. We may suspend access where necessary to protect the Service or comply with law, or for non-payment, and will try to give notice first.
On termination: your access ends. You may export your Customer Data during your subscription and for a limited window afterward; following that window we will delete or return Customer Data as described in the DPA, subject to legally required retention (for example, financial records).
10. Intellectual property
The InnerFrame methodology, frame-type definitions, profile content, software, designs, trademarks, and the InnerFrame name and logo are owned by InnerFrame LLC. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the Service for your internal business purposes during your subscription. You may not reverse engineer, resell, or copy the Service or its content.
11. Warranties and disclaimers
We will provide the Service with commercially reasonable skill and care and will use commercially reasonable efforts to keep it available. Except for that commitment, the Service is provided "as is" and "as available," and to the maximum extent permitted by law we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that assessment results or AI output will be accurate or suitable for any particular purpose.
12. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages. Our total aggregate liability arising out of or relating to the Service will not exceed the fees you paid us for the Service in the twelve months before the event giving rise to the claim.
13. Indemnification
You will defend and indemnify InnerFrame against claims arising from your Customer Data, your use of the Service, or your violation of these Terms or of applicable employment, privacy, or anti-discrimination law — including claims by your personnel or assessed individuals relating to how your organization collected or used their data or acted on results. We will defend and indemnify you against third-party claims that the Service, as provided by us, infringes that third party's intellectual property rights. Each party's indemnity is conditioned on prompt notice and reasonable cooperation.
14. Disputes and governing law
These Terms are governed by the laws of the State of Utah, United States, without regard to conflict-of-laws principles. Any dispute that cannot be resolved informally will be brought exclusively in the state or federal courts located in Weber County, Utah, and each party consents to the personal jurisdiction of those courts.
15. Changes to these Terms
We may update these Terms as the Service or the law evolves. For material changes we will update the "Last updated" date and notify account administrators by email or in-app notice, generally at least 30 days before the change takes effect. Continued use after the effective date means you accept the updated Terms.
16. Miscellaneous
- Order of precedence. If there is a conflict, a signed order prevails over these Terms, and these Terms prevail over the DPA except on matters of personal-data processing, where the DPA controls.
- Assignment. You may not assign these Terms without our consent; we may assign them to a successor in a merger, acquisition, or asset sale.
- Force majeure. Neither party is liable for delays caused by events beyond its reasonable control.
- Severability & no waiver. If a provision is unenforceable, the rest remains in effect; failure to enforce a provision is not a waiver.
- Notices. Legal notices to us should go to innerframetests@gmail.com.
